TERMS & CONDITIONS

By making a purchase from SOKTAS in accordance with this quotation, you consent to be bound by the following Standard Terms and Conditions, which taken together will constitute a legally binding contract between you and Soktas.

1. PAYMENT

1.1 When placing an order, a 50% non-refundable deposit of the total order cost is required. Before the Dispatch Date, the remaining balance is due. EFT/wire transfer, Mastercard, and Visa are accepted forms of payment (a 1.5% handling fee is charged for these types of transactions).

1.2 Until the Total Order Cost is paid, Soktas will not despatch any orders or make any orders available for pickup. Soktas has a limited capacity for storing orders. There must be a time indication. Products are Soktas's property until full payment is received.

2. TITLE, RISK AND INSTALLATION

2.1 Soktas will not be liable in any way (however caused) for any damage or loss caused to the Product(s) once title and risk has transferred to you. To avoid any misunderstanding, Soktas is not responsible for damage caused by improper cleaning solutions or methods, damage caused by improper installation or assembly by the customer or the customer's agent, damage to our fixtures, parts of our fixtures, or shades caused by the improper use of light bulbs, damage caused by exposure to weather or an improper environment, changes in the appearance of hand rubbed finishes or un-lacquered finishes (these are meant to age in appearance). or any costs of installation, removal or re-installation.

2.2 All claims for damage must be submitted in writing to our email (info@soktas.co) within 5 working days of receiving the goods. Photographs and a written description of the damage must accompany damage claims. Soktas is not liable for the repair or replacement of damages reported after this date. If there is damage during shipping, the receiver must keep all packaging. Failure to do so may render any claim null and void.

2.3 All permanent fixtures are intended for installation by a licenced electrician. All pieces come with installation instructions and hardware. For weight requirements, please refer to your specification sheet. Please ensure that the ceiling is properly blocked.

3. WARRANTIES BY SOKTAS

3.1 Soktas makes every effort to ensure that its products are displayed as correctly as possible on its website, catalogue, and order forms. However, the actual colour or finish of things may differ from how they appear on your screen or in print. We cannot guarantee that the colour you see on your screen or in print will exactly match the colour of the Product(s) when they arrive. Furthermore, each Product is unique and incorporates handcrafted parts; as a result, while Soktas makes every attempt to ensure consistency between products, no two items will be identical. All designs, dimensions, samples, and specifications are provided as a guide only.

3.2 Soktas fixtures are guaranteed against defects for two years from the date of invoice (not installation).

4. CHANGES

After the Dispatch Date, the order cannot be modified in any way. Any requests for modifications or changes to your order must be made in writing ("Change Request") prior to the Dispatch Date. Soktas reserves the right to accept or reject any Change Request at their sole discretion and does not guarantee that they will be able to accommodate any Change Request. You acknowledge that any Change Request may result in additional lead times and expenses, which will be communicated to you.

5. RETURN AND REFUND POLICY

5.1 Before placing an order, please make a thoughtful decision. Refunds and exchanges are not available for incorrect selections or change of heart, unable to be installed due to application, including customised products.

5.2 Upon delivery, you are required to inspect all Products and report any damage to Soktas within 24 hours of receipt. Before granting any exchanges, repairs, or credits, Soktas must inspect the returned product(s) to confirm the existence of such damage. For any defective Product(s) that Soktas can reasonably fix, no refunds will be given to the fullest extent permitted by law. If a Product(s) needs to be repaired or replaced, Soktas may have to wait for a certain amount of time. The length of the wait depends on how long it will take to replace the Product or make the necessary repair. Any Product(s) accepted for return or exchange must be shipped in its original packaging, including all tags, manuals, and instructions.

5.3 To ensure the Product is used safely and lasts a long time, it is crucial that you adhere to the installation instructions provided by Soktas (s). Refunds, replacements, or free repairs are not available from Soktas for products that have been misused, including by failing to adhere to installation instructions.

5.4 If any law prohibits or restricts the exclusion, restriction, or modification of any implied warranties, conditions, or obligations, Soktas limits its liability with respect to any such claim to, at its option: (a) the replacement of the goods or the supply of equivalent goods; (b) the repair of the goods; or (c) the payment of the cost of repairing the goods, replacing the goods, or acquiring equivalent goods.

6. INDEMNITY

6.1 Soktas disclaims all responsibility for any failure or delay in performance or delivery that may be caused, in whole or in part, directly or indirectly, by any event that is outside of our reasonable control. Without limiting the generality of the aforementioned, such causes include, but are not limited to, fire, explosion, earthquake, storm, flood, or other weather, lack of access to necessary utilities or raw materials, strike, lockout, lack of components, activities of a group of workers, or other labour difficulties, war, insurrection, riot, act of God or the public enemy, law, act, order, export control regulation, proclamation, decree, regulation, ordinance, or instructions.

6.2 Soktas is not liable for any special, incidental, consequential, or exemplary damages arising from this agreement or the use of the goods or services provided by us, including, without limitation, damages or costs relating to loss of profit, business, goodwill, property damage, or bodily injury, even if we are advised of the possibility of such damages, or for any similar claim brought against you by another party.

6.3 You agree to indemnify and hold Soktas, its officers, employees, contractors, agents, affiliates, successors, assigns, suppliers, and licensors harmless from any claims, actions, proceedings, and suits, as well as all related liabilities, losses, damages, judgements, settlements, penalties, fines, costs, and expenses (including legal expenses), arising out of: (a) Your misuse of any Product(s); (b) Your breach or alleged breach of this Agreement (s). Your infringement of any law, rule, regulation or rights of others in connection with your use of any Product(s).

7. CUSTOMS CHARGES

Please note, shipments to all overseas addresses fall under the import regulations of the receiving country. You should be aware the recipient may be asked to pay sales tax or duties and you should be prepared for this. SØKTAS cannot take responsibility for the payment of any tariffs and taxes charged by a foreign government.

8. INTELLECTUAL PROPERTY

You agree that all intellectual property (whether registered or unregistered), including copyright, designs, techniques, methods of manufacture, trade marks, registered designs, specifications, any other information relating to Soktas's products, and any underlying materials relating to the foregoing, shall vest in Soktas at all times. You also recognise that Soktas retains all intellectual property rights in all Soktas content made available to you via any printed or electronic media. As a result, you are not permitted to publish, modify, distribute, or otherwise reproduce any of Soktas' intellectual property or content in any format without Soktas' prior written approval. This includes creating or obtaining any counterfeit or imitation of the Product(s).

9. GOVERNING LAW

9.1 Queensland law shall govern the interpretation and enforcement of this Agreement, and you hereby irrevocably submit to the nonexclusive jurisdiction of the courts of Queensland in any disputes.
